Terms of Service

These Terms of Service ("Terms") govern your access to and use of Efflux Biosimulations' ("Efflux," "we," "us," or "our") chromatography modeling and simulation platform, including our website, software, tools, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account, accessing our platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this age requirement.

2. Service Description

Efflux provides a cloud-based chromatography modeling and simulation platform designed for the biopharmaceutical industry. Our Services include:

  • Mechanistic modeling of chromatography processes for biomolecules
  • Process optimization and scale-up prediction tools
  • Project management and collaboration features
  • Free online calculators and tools
  • Technical support and documentation
  • Contract modeling services (separate from software subscriptions)

3. Account Registration and Security

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Use a password of at least 10 characters
  • Verify your email address when required
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

You may not share your account credentials with others or allow others to access your account. Each user must have their own individual account.

4. Payment Terms and Billing

4.1 Subscription Fees

Paid subscription plans (Academic and Enterprise) require payment in advance. Fees are based on the plan you select and may be billed monthly or annually at your option. Annual billing may include discounted pricing.

4.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription fee for your plan.

4.3 Payment Methods

You agree to provide valid payment information and authorize us to charge your payment method for all fees incurred. If payment fails, we may suspend or terminate your access to paid features.

4.4 Price Changes

We reserve the right to change our pricing at any time. We will provide you with at least 30 days' notice of any price changes for your existing subscription. Price changes will take effect at the start of your next billing period after the notice period. If you do not agree to the price change, you may cancel your subscription.

4.5 Refunds

All fees are non-refundable except as required by law or as otherwise specified in writing. If you cancel your subscription, you will not receive a refund for any unused portion of your billing period, but you will retain access to paid features until the end of that period.

4.6 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including VAT, GST, sales tax, or similar taxes. You are responsible for paying all such taxes except for taxes based on our net income.

5. User Data and Intellectual Property Rights

5.1 Your Data Ownership

You retain all ownership rights to your data, including your project configurations, simulation parameters, experimental data uploads, and simulation results ("Your Data"). Across all subscription tiers (Free, Academic, and Enterprise), you maintain full ownership of Your Data.

5.2 License to Use Your Data

By using the Services, you grant Efflux a limited, non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of:

  • Providing and operating the Services
  • Performing simulations and computations you request
  • Maintaining and improving the platform
  • Providing technical support

We will not use Your Data for any other purpose without your explicit consent. We do not claim ownership of Your Data and will not share it with third parties except as described in our Privacy Policy.

5.3 Efflux Intellectual Property

The Services, including all software, algorithms, models, templates, documentation, and content (excluding Your Data), are owned by Efflux and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Services or our proprietary algorithms and models.

5.4 Use of Simulation Results

You are free to use, publish, and commercialize the simulation results generated using the Services. We do not require attribution for results, though it is appreciated. However, you must comply with all applicable laws and regulations when using simulation results, particularly in regulatory submissions or manufacturing processes.

6. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Share Account Credentials: Share your login credentials or allow unauthorized access to your account
  • Engage in Illegal Activities: Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Reverse Engineer: Attempt to reverse engineer, decompile, disassemble, or discover the source code or algorithms of the Services
  • Interfere with Services: Interfere with or disrupt the Services, servers, or networks connected to the Services
  • Circumvent Security: Attempt to bypass, disable, or interfere with security features or access controls
  • Introduce Malware: Upload or transmit viruses, malware, or other malicious code
  • Impersonate Others: Impersonate any person or entity or falsely represent your affiliation with any person or entity
  • Violate Third-Party Rights: Infringe on the intellectual property rights or other rights of third parties
  • Resell Services: Resell, sublicense, or otherwise commercially exploit the Services without our express written permission

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including suspending or terminating accounts.

7. Disclaimers and Warranties

7.1 "AS-IS" Basis

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EFFLUX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of simulation results
  • Warranties that the Services will be uninterrupted, secure, or error-free
  • Warranties regarding defects, viruses, or other harmful components

7.2 Simulation Accuracy Disclaimer

IMPORTANT: Simulation results generated by the Services are computational predictions based on mathematical models. EFFLUX MAKES NO GUARANTEES REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF SIMULATION RESULTS FOR ANY PARTICULAR PURPOSE.

You assume all risk and responsibility for the use of simulation results. Results should be independently verified through experimental validation before being used in production processes, regulatory submissions, or any critical applications. Efflux is not liable for any consequences arising from reliance on simulation results.

7.3 Professional Judgment

The Services are tools to assist your professional judgment, not replace it. You are solely responsible for all decisions made based on simulation results. The Services do not constitute professional advice, and you should consult with qualified professionals as appropriate.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EFFLUX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Business interruption or production delays
  • Cost of substitute services or procurement
  • Regulatory non-compliance or failed regulatory submissions
  • Damage to reputation or goodwill

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Efflux has been advised of the possibility of such damages.

IN NO EVENT SHALL EFFLUX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO EFFLUX IN THE 12 MONTHS PRECEDING THE CLAIM. FOR FREE TIER USERS, OUR TOTAL LIABILITY SHALL NOT EXCEED €100.

9. Indemnification

You agree to indemnify, defend, and hold harmless Efflux and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Your Data or any content you submit through the Services

10. Term and Termination

10.1 Term

These Terms remain in effect while you use the Services. Your subscription continues until cancelled by you or terminated by us in accordance with these Terms.

10.2 Cancellation by You

You may cancel your subscription at any time by contacting us at contact@effluxbio.com. Upon cancellation:

  • Your access to paid features will continue until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • No refunds will be provided for the unused portion of your billing period
  • Your account and data will be retained until the end of the billing period

10.3 Termination by Efflux

We may suspend or terminate your access to the Services immediately, without prior notice, if:

  • You breach these Terms or our Acceptable Use Policy
  • Your payment method fails and you do not provide alternative payment
  • We are required to do so by law or governmental authority
  • We discontinue the Services (with reasonable notice)
  • Your use of the Services poses a security risk or could harm our systems or other users

10.4 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Services immediately ceases
  • Your personal information will be deleted within 30 days in accordance with our Privacy Policy
  • Your project data will be permanently deleted after the retention period
  • You remain liable for any outstanding fees owed
  • Sections of these Terms that by their nature should survive termination will remain in effect (including disclaimers, limitations of liability, and indemnification)

10.5 Data Export

Before terminating your account, we recommend exporting Your Data. After account deletion, we may not be able to recover Your Data. Contact us if you need assistance with data export.

11. Modifications to Services and Terms

11.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you of material changes that negatively impact your use of the Services. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

11.2 Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (if you have an account) and/or by posting a prominent notice on our website at least 30 days before the changes take effect. The "Last Updated" date at the top indicates when these Terms were most recently revised. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may cancel your subscription.

12. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, share, and protect your personal information. By using the Services, you also agree to our Privacy Policy, which is incorporated into these Terms by reference.

We process personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Our infrastructure is hosted in the European Union. For enterprise customers, Data Processing Agreements (DPAs) are available upon request.

13. Third-Party Services and Links

The Services may contain links to third-party websites, services, or resources. We do not endorse and are not responsible for the content, products, services, or practices of third parties. Your interactions with third parties are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party services you access.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the jurisdiction where Efflux Biosimulations is incorporated, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or related to these Terms or the Services shall be resolved through good-faith negotiations between the parties. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the competent courts in the EU jurisdiction where Efflux is incorporated.

14.3 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Efflux regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

15.5 Force Majeure

Efflux shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or failures of third-party services or infrastructure.

15.6 Survival

Sections of these Terms that by their nature should survive termination will survive, including but not limited to: User Data and Intellectual Property Rights, Disclaimers and Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and General Provisions.

15.7 Relationship of Parties

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Efflux. You have no authority to bind Efflux or make commitments on our behalf.
